Summary

                    The Town of Palisade is the owner of property known as the Cameo property in the County of Mesa, State of Colorado; and Oak Leaf Solar XXXI LLC desires to lease a portion of the Cameo Property from the Town for the purpose of the construction and operation of a solar photovoltaic power array for the generation and distribution of electric power; and the Town and Oak Leaf Solar XXXI LLC have negotiated a Ground Lease Agreement concerning the lease of such property.  

Operator intends to construct, install, own, operate, and maintain a solar photovoltaic System at the Premises. The Parties intend that, pursuant to the Tariff and the Power Purchase Agreement (“Producer Agreement”), the System will qualify as a Community Solar Garden and will generate Bill Credits to be applied to Subscriber’s monthly invoices from Public Service Company of Colorado for retail electric service for Subscriber Meters. Subscriber is willing to purchase, or pay to be allocated, Subscriber’s Allocated Percentage as described of the Delivered Energy to be generated by the System commencing on the Commercial Operation Date and continuing through the Term, and Operator is willing to sell, or cause to be allocated, Subscriber’s Allocated Percentage of the Delivered Energy to be generated by the System to Subscriber commencing on the Commercial Operation Date and continuing through the Term, as provided under the terms of this Agreement. This Agreement is for Community Solar Garden SRC053977 located in Mesa County.
